Cryptobots.io and usdbots.com is an El Salvador public limited company (Sociedad Anonima S.A.) whose registered office is located at Calle El Mirador, 85 Ave. Norte, and 11 Calle (Oficina 643), Colonia Escaldon, San Salvador (hereinafter referred to as "vedra investments").
You need to carefully read and accept the terms and conditions of this Agreement before electronically signing it. You understand that electronically signing this Agreement is the legal equivalent of manually signing it, and you will be legally bound by its terms and conditions in their entirety. This Agreement takes effect at the Effective Date. You are encouraged to consult with your own advisor regarding any consequences related to your entering into this Agreement with us.
VEDRA INVESTMENTS (DBA "CRYPTOBOTS.IO and USDBOTS.COM") USER AGREEMENT AND TERMS OF SERVICE
This Cryptobots.io and usdbots.com user agreement ("Agreement") is made between Cryptobots.io ("cryptobots.io","usdbots.com""us", "we", "our") and you ("you", "your") (each a "Party" and together the "Parties") and governs your use of our services that we provide you with the use of our websites or mobile applications (as defined below).
1. EFFECTIVE DATE
1.1 Subject to other conditions of this Agreement, cryptobots.io and usdbots.com undertake to enter into this Agreement with you and deliver the Services to you in exchange for the Service Fee if you are over 18 years old or you are a legal entity duly registered under applicable law.
1.2 The Effective Date shall be the earliest date when you either
(i) pay us the Advance Service Fee (as defined below), or (ii) in paper or electronic format, fully and explicitly agree to be bound by this Agreement.
1.3 We reserve the right to reject entering into the Agreement with you or immediately terminate such Agreement if we are not satisfied with the results of the Verification (as defined below).
2. VERIFICATION
2.1 Cryptobots.io and/or usdbots.com may decide to verify your data and undergo know-your-client and anti-money laundering procedures to assess whether you are legally allowed to contract with us ("Verification").
2.2 Cryptobots.io and/or usdbots.com may request, and you should provide us (or third-party provider engaged by us) with the following data for verification: Full name (first, middle, and last name) of an individual or the full name of a legal entity in English; and date of birth (for an individual) or date of state registration (for a legal entity); and scanned and readable electronic copies of all valid passports (for an individual) or certificates of incorporation (for a legal entity); and scanned and readable electronic copies of all valid visas and (or) temporary residency permits (for an individual) or an official document confirming carrying out business in non-domestic jurisdiction (for a legal entity); and contact email address and contact phone number. You undertake to provide us with any other data that we, in our sole discretion, deem to be required to maintain compliance with any laws, regulations or policies. Such documents and information include, but are not limited to, passports, driver's licenses, utility bills, photographs, government identification cards, sworn statements, tax identification numbers, information about your family members, beneficiaries, shareholders, beneficial owners, partners, directors, officers or any other connected individuals. You undertake not to hide (including by using a VPN, proxy or similar service) your real location or otherwise provide false or misleading information regarding your data. We may collect any other information useful or necessary for communicating with you, including your data, to the extent this is permitted by applicable laws and this Agreement. You agree that, upon our request, you will provide the requested information to satisfy applicable anti-money laundering laws and regulations, including your anti-money laundering policies and procedures, background documentation relating to your directors, trustees, settlors and beneficial owners, and audited financial statements, if any.
3. SERVICES
3.1 Subject to Clause 1, we give you access and a right to use to our webpages, software, data, technology, solutions, information, access to third-party APIs, and other services ("Services")
3.2 With the use of our services, you will be able to manage your crypto funds ("Crypto Funds") by selecting either of the trading strategy available within our software. All income, profit and loss resulting from the management of the Crypto Funds will be for your account unless stated otherwise in this Agreement.
3.3 Our Services do not include: comprehensive financial planning services, and our services are not a complete investment program; tax, accounting or legal advice; or custody of the Crypto Funds. To use our services, you need to: (i) open a separate account with the cryptocurrency exchanges; (ii) transfer your crypto funds to that exchange account; (iii) inform us of opening the account by communicating a unique account identifier to us; (iv) provide us with the API keys to the account; and (v) pay us the advance service fee (as defined below). Once everything is properly setup by our IT team, you should be able to execute trade orders using the Services. We designed our services for you to be able to arrange crypto trading of the crypto funds in the account with the use of our software. The Services may fail to serve you properly if you provide access or API keys to the Account to any other party. We therefore reserve the right to terminate this agreement if you use the account for any crypto trading other than crypto trading with the use of our services. We may furnish a copy of this Agreement to your chosen exchange or other relevant counterparties as evidence of our authority to provide you with Services in relation to the Account.
4. INTELLECTUAL PROPERTY
4.1 Cryptobots.io, usdbots.com, and its affiliates have (or intend to receive) valid, unrestricted, and exclusive ownership of rights to use the patents, trademarks, trademark registrations, trade names, copyrights, know-how, technology, and other intellectual property necessary to provide the services and carry out their business.
4.2 In no way shall this Agreement entitle, (or) license, and (or) grant you any intellectual property of Cryptobots.io, usdbots.com, and (or) its affiliates, including the intellectual property rights to the webpage, and (or) to all text, graphics, interfaces, visual interfaces, photographs, trademarks, logos, artwork, computer code, design, structure, selection, coordination, expression, and other content connected with the Services and (or) our business. All such content and intellectual property and its arrangements belong to Cryptobots.io, usdbots.com, and/or its affiliates and are protected by intellectual property rights and fair competition laws.
4.3 There are no implied licenses under this Agreement, and any rights not expressly granted to you are reserved by and belong to Cryptobots.io, usdbots.com, and/or its affiliates.
5. SERVICE FEE
5.1 Fee Structure: The service provider shall be entitled to a service fee equal to thirty-three percent (33%) of the realized profits generated by the client’s account. The realized profits are defined as the net gains after deducting any applicable costs, fees, and expenses associated with the management and execution of trades. The service fee shall be calculated and become due at the conclusion of each trading cycle, which is typically thirty (30) calendar days but may be extended depending on market conditions or other relevant factors.
5.2 Payment Terms: The client agrees to remit payment of the service fee within forty-eight (48) hours following the receipt of the invoice or notice of the amount due from the service provider. Payment shall be made via crypto transfer via the dashboard. Any delays or failures to remit payment within the specified timeframe shall result in the automatic disconnection of the client’s account from the service provider's system. The client acknowledges that failure to pay the service fee as outlined herein may also result in the suspension or termination of services provided under this Agreement.
6. CONFIDENTIALITY
6.1 For the purposes of this clause 6, "cryptobots.io, usdbots.com, confidential information" includes all nonpublic information disclosed by cryptobots.io, usdbots.com, its affiliates, business partners, or their respective employees, contractors, or agents that is designated as confidential or that, given the nature of the information or circumstances surrounding its disclosure, reasonably should be understood to be confidential. cryptobots.io, usdbots.com confidential Information includes, inter alia: nonpublic information relating to cryptobots.io, usdbots.com, or its affiliates or business partners' technology, customers, business plans, promotional and marketing activities, finances and other business affairs; third-party information that cryptobots.io, usdbots.com is obligated to keep confidential the nature, content and existence of any discussions or negotiations between you and cryptobots.io or usdbots.com; any information regarding our webpages, software, data, technology, solutions or intellectual property; other cryptobots.io, usdbots.com information with exception of information that: is or becomes publicly available without breach of this Agreement; can be shown conclusively by documentation to have been known to you at the time of its receipt from cryptobots.io, usdbots.com; is received from a third party who did not acquire or disclose the same by a wrongful or tortious act; can be shown conclusively by documentation to have been independently developed by you without reference to cryptobots.io, usdbots.com confidential information. You may use cryptobots.io, usdbots.com confidential information only in connection with the use of Services under this Agreement and pursuant to the terms of this Agreement. You undertake to take all reasonable measures to avoid disclosure, dissemination, or unauthorized use of cryptobots.io confidential information, including, at a minimum, those measures that you take to protect your own confidential information of a similar nature.
6.2 You undertake not to: disclose cryptobots.io, usdbots.com confidential information during the term of this agreement or at any time during the ten ('10') year period following the end of the term of this agreement; and issue any press release or make any other public communication with respect to this agreement; and misrepresent or embellish the relationship between you and us (including by expressing or implying that cryptobots.io, usdbots.com supports, sponsors, endorses, or contributes to your business endeavors), or express or imply any relationship or affiliation between you and cryptobots.io, usdbots.com or our affiliates except as expressly permitted by this Agreement.
7. YOUR REPRESENTATIONS AND WARRANTIES
7.1 Your representations and warranties are listed in this Agreement. You confirm that your representations and warranties are true, complete, accurate and non-misleading on and from the Effective Date. By paying the advance service fee and (or) utilizing our services and (or) carrying out any other action pursuant to this Agreement, you are confirming those representations and warranties as of the respective date.
7.2 You hereby undertake to immediately notify us and cease using the Services as soon as practically possible if your jurisdiction or other circumstances change such that the below representations and warranties are no longer true, complete, accurate and non-misleading. We shall be able to return to you some of the advance fee pro rata for the period during which you consumed our services.
7.3 You represent and warrant as follows: You have the full right, legal capacity, power, authority, and qualification to enter into this agreement as well as to deliver and perform under it. No waiver or consent of any person is required in connection with the execution, delivery, and performance of this Agreement by you. This Agreement is a valid and binding agreement enforceable against you in accordance with its terms. You have reviewed the agreement, and the consequences of entering into this agreement have been fully explained to you. You have also received legal advice and counsel regarding the terms and consequences of entering into this agreement. Entering into this Agreement and performing its obligations will not violate any law, regulation, order, judgment, or decree applicable to you or any agreement by which you are bound. You are not located in, a resident of, or a citizen or national of any jurisdiction in which the provision of the services is prohibited by law, decree, regulation, treaty, or administrative act and (or) subject to any restrictive measures or any economic or trade sanctions.
7.4 We represent and warrant to you that: We have the full right, legal capacity, power, authority, and qualification to enter into this Agreement as well as to deliver and perform under this Agreement. No waiver or consent of any person is required in connection with the execution, delivery, and performance of this Agreement by us. This Agreement is a valid and binding agreement enforceable against us in accordance with its terms. We have reviewed the agreement, and the consequences of entering into this agreement have been fully explained to us. We have also received legal advice and counsel regarding the terms and consequences of entering into this agreement. Entering into this Agreement and performing its obligations will not violate any law, regulation, order, judgment, or decree applicable to us or any agreement by which we are bound.
8. LIABILITY
8.1 This section does not purport to limit or exclude your or our liability in cases where the liability may not be limited or excluded under applicable law. In no event shall either Party be liable to the other Party for any indirect, consequential, incidental, special or punitive damages (including loss of profit), whether such damages are based on breach of contract, tort (including negligence), product liability or otherwise, even if advised of the possibility of such damages. Cryptobots.io, usdbots.com shall not be liable for any damages or losses resulting from: 8.1.1 Your use or inability to use our services; 8.1.2 Unauthorized access to or alteration of your transmissions or data; 8.1.3 Statements or conduct of any third party using our services; 8.1.4 Any other matter relating to our services. cryptobots.io, usdbots.com's aggregate liability for any claim, loss, or damage arising out of or relating to this Agreement, whether based in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the total amount of the service fees paid by you to Cryptobots.io during the six-month period immediately preceding the event giving rise to such liability.
9. TERMINATION
9.1 Either party may terminate this agreement by providing the other party with thirty (30) days prior written notice or immediately in the event of a material breach of this agreement by the other party.
9.2 In addition to the above, cryptobots.io, usdbots.com may immediately terminate this agreement upon the occurrence of any of the following events: 9.2.1 You become insolvent or bankrupt or are declared insolvent or bankrupt, or have entered into or filed any petition, proceeding or arrangement with creditors, or become subject to any other event under applicable law for the relief of debtors; 9.2.2 A receiver, trustee, or custodian is appointed for all or any part of your assets; 9.2.3 You are dissolved or liquidated or have wound up or ceased to carry on all or substantially all of your business.
10. MISCELLANEOUS
10.1 This agreement and any rights and obligations hereunder may not be assigned, transferred, delegated, or sublicensed by either party without the prior written consent of the other party. Any purported assignment, transfer, delegation or sublicense without such prior written consent shall be null and void.
10.2 If any provision of this Agreement is held to be unenforceable, such provision shall be replaced with an enforceable provision that most closely reflects the intent of the original provision, and the remaining provisions shall remain in full force and effect.
10.3 This Agreement shall be governed by and construed in accordance with the laws of El Salvador without giving effect to its principles of conflicts of law.
10.4 Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the Arbitration Rules of the International Chamber of Commerce ("ICC") then in force. The place of arbitration shall be San Salvador, El Salvador. The language of the arbitration will be Spanish. The arbitral award shall be final and binding upon the Parties. Judgment upon the arbitral award may be entered in any court having jurisdiction thereof. Each Party shall bear its own costs and expenses of the arbitration.
10.5 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.
